Part 1 — General terms

Who we are

These terms are issued by Tintarenis Ventures Ltd, a company registered in the Republic of Cyprus under number HE 395014, VAT number CY10395014H, registered office Georgiou Griva Digeni 104B, 3101 Limassol, trading as BOBO Mindful Sweets ("BOBO", "we", "us", "our").

"You" and "the Customer" means the person or organisation that orders goods or services from us. Parts 1 to 4 apply to business customers: businesses, retailers, offices, organisers and other organisations. Part 5 applies to private individuals who book an Event for personal purposes.

1. Application and acceptance

1.1 These terms govern every supply of goods, event services and equipment hire by us to you, and form part of every contract between us, to the exclusion of any other terms.

1.2 You accept these terms by placing an order or booking, by email, messaging app, telephone, in person or otherwise. No signature is needed. Placing an order, confirming a booking, paying a deposit, accepting delivery or paying an invoice each confirms acceptance, for that supply and for our ongoing trading relationship.

1.3 These terms prevail over any purchase order, conditions or other document you issue. If we have signed a separate written agreement with you that expressly varies these terms, that agreement prevails to the extent of any conflict.

1.4 These terms are in five Parts. Part 1 applies to every supply to a business customer. Part 2 applies to goods, Part 3 to events and equipment hire, Part 4 to recurring office supply, and Part 5 to Event bookings by private individuals. If a specific Part conflicts with Part 1, the specific Part prevails. The Agreed Details for a specific order, Event or Standing Order prevail over the Parts for that supply.

1.5 We may update these terms from time to time. The version in force on the date of your order or booking applies to it. The current version is at bobo.cy/pages/terms-of-supply and is available on request.

2. Definitions

  • Agreed Details: the products, quantities, prices, dates, times, Venue and other details of a supply, as set out in our quote, order confirmation or invoice, or otherwise agreed between us in writing, including by email or messaging app.
  • Goods: products we supply to you, being Own Products and Distributed Products.
  • Own Products: frozen and ambient confectionery and food products made by us under the BOBO brands.
  • Distributed Products: products of third-party brands that we distribute in Cyprus, including EnHealthy / SuperGarden, LemonAid, ChariTea and Gaia Kombucha.
  • Event: an occasion for which we supply products, the ice-pop truck, chillers or serving staff, as set out in the Agreed Details.
  • Equipment: the truck, chillers, freezers and any other equipment we bring to or leave at the Venue.
  • Venue: the place where the Event takes place or where Equipment is placed.
  • Staffed Event: an Event at which our personnel operate the truck or serve. Unstaffed Supply: an Event at which we deliver products and Equipment but our personnel do not stay to operate or serve.
  • Standing Order: a recurring supply of Goods at an agreed volume and frequency, as set out in the Agreed Details.

3. Orders and acceptance

3.1 Each order or booking is an offer by you to buy on these terms.

3.2 A contract is formed when we confirm the order or booking, whether by written confirmation, by issuing a pro-forma or invoice, or by dispatching the Goods, whichever happens first. We may decline any order.

3.3 Once accepted, an order for Goods may not be cancelled or changed without our written agreement, because much of our range is perishable. Cancellation of Events is covered in Part 3, and changes to Standing Orders in Part 4.

4. Prices and invoicing

4.1 Prices are those in our current trade price list, quotation or the Agreed Details, in euro and excluding VAT. VAT is added at the rate in force at the tax point.

4.2 Quotations are valid for 30 days unless stated otherwise. The price for a supply is the price we confirm for it.

4.3 Prices apply to supplies within the Republic of Cyprus. Delivery, travel or setup charges, if any, are shown separately.

4.4 We may issue invoices by email.

5. Payment

5.1 New customers pay in advance, in cleared funds before dispatch, until we agree a credit account in writing.

5.2 Approved account customers pay within 30 days of the invoice date (NET 30), unless we agree a different period in writing. Events are paid by deposit and balance under Part 3.

5.3 Time of payment is of the essence. We may set, reduce or withdraw a credit limit or credit terms on reasonable notice.

5.4 If you do not pay on time, we may, without limiting our other rights: (a) charge statutory interest and fixed recovery compensation under Cypriot law implementing EU Directive 2011/7/EU on late payment in commercial transactions (currently the ECB reference rate plus 8 percentage points, and at least €40 per invoice); (b) suspend further deliveries, Events or Standing Orders; and (c) require payment of all outstanding amounts before supplying again.

5.5 You must pay in full without set-off, deduction or withholding, except as the law requires.

Part 1 (continued) — Liability, data and law

6. Liability

6.1 Except as these terms expressly state, and to the fullest extent the law allows, all other terms, conditions and warranties implied by statute or otherwise are excluded.

6.2 We are not liable for any indirect or consequential loss, or for loss of profit, revenue, business, goodwill or anticipated savings, however it arises.

6.3 Subject to 6.4, our total liability arising out of or in connection with any supply, whether in contract, tort (including negligence), breach of statutory duty or otherwise, is limited to the price paid for the Goods or services giving rise to the claim.

6.4 Nothing in these terms limits or excludes our liability for: (a) death or personal injury caused by our negligence; (b) fraud or fraudulent misrepresentation; (c) liability for defective products owed to an injured person under applicable law; or (d) any other liability that cannot lawfully be limited or excluded.

7. Events beyond our control

7.1 We are not liable for failure or delay caused by events beyond our reasonable control. These include failure of utilities, equipment or refrigeration, vehicle breakdown, supply shortages, transport disruption, extreme weather, fire, flood, epidemic or acts of public authorities.

7.2 If such an event prevents an Event, we will offer a new date or refund sums paid for services not provided; that is your sole remedy. If it continues for more than [30] days, either of us may cancel the affected order.

8. Brand, intellectual property and confidentiality

8.1 All trade marks, names, logos, designs, recipes and other intellectual property in the Goods and our branding remain ours or the relevant brand owner's.

8.2 You may use our brand names and images only to advertise and resell genuine Goods bought from us, in unaltered form. You must not imitate, register or misuse our or any brand owner's marks.

8.3 Each of us must keep the other's non-public business information confidential, including prices and terms, and use it only for our trading relationship. This does not apply to information that is public, or that must be disclosed by law or to an authority.

9. Personal data of business contacts

9.1 We are the controller of the personal data of your staff and contacts that we receive in our trading relationship: names, job titles, work contact details, delivery and Venue addresses, and the related order, booking, delivery, invoice, payment and correspondence records.

9.2 We use this data to take and fulfil orders and bookings, deliver, invoice and collect payment, manage your account, handle complaints, and meet food-safety traceability, recall, tax and accounting duties. Our legal bases are performance of our contract with you, our legal obligations, and our legitimate interest in managing business relationships. We may also send your contacts news about similar products, with an easy opt-out in every message.

9.3 We share the data only with our accountants, IT, email and cloud providers, banks and payment providers, professional advisers, and authorities where the law requires. Where a provider processes it outside the EEA, we rely on an adequacy decision or the European Commission's Standard Contractual Clauses.

9.4 We keep business records for the length of the relationship and then 6 years after the end of the tax year they relate to. We keep complaint and food-safety records for 6 years after the matter is closed.

9.5 Your contacts may ask us for access, correction, erasure, restriction, portability, or object to our processing, by writing to contact@bobo.cy. They may also complain to the Office of the Commissioner for Personal Data Protection (gov.cy/dataprotection).

9.6 You must pass this information to the staff whose details you give us. For visitors to our website, our Privacy Policy at bobo.cy/policies/privacy-policy applies.

10. Suspension and termination

10.1 We may suspend supply, cancel or suspend any accepted order, booking or Standing Order, or end our trading relationship, with immediate effect by written notice if you: (a) fail to pay any amount when due; (b) breach these terms and, where the breach can be remedied, do not remedy it within [14] days of notice; or (c) become insolvent, stop trading, or appear likely to.

10.2 Ending the relationship does not affect amounts already due or rights already accrued. Clauses meant to survive, including those on retention of title, defects, liability, recalls, intellectual property and confidentiality, continue to apply.

11. General

11.1 A failure to enforce a term is not a waiver of it. If any provision is unenforceable, the rest remain in force.

11.2 You may not assign or transfer your rights or obligations without our written consent; we may assign ours.

11.3 Nothing in these terms creates a partnership or agency, except as clause 16.2 states.

11.4 Notices must be in writing. In these terms, "in writing" includes email and messages sent through a messaging app, to the address or number each of us normally uses.

11.5 These terms, together with any signed agreement and the Agreed Details, are the entire agreement between us for the supply concerned.

11.6 A person who is not a party has no right to enforce these terms.

12. Governing law and jurisdiction

These terms and every supply made under them, and any dispute arising out of or in connection with them (including non-contractual disputes), are governed by the law of the Republic of Cyprus. The courts of the Republic of Cyprus have exclusive jurisdiction.

Part 2 — Goods

13. Our products

13.1 We supply Own Products and Distributed Products. Specifications, recipes, weights, packaging and ranges may change, and images are indicative. We will tell you of any material change affecting an accepted order.

13.2 For Distributed Products, the manufacturer or brand owner is responsible for the product, its specification and its labelling. We act as distributor, and our obligations for Distributed Products are limited accordingly (clause 18.3).

14. Delivery and risk

14.1 We deliver within Cyprus, or you may collect by arrangement. Delivery dates and times are estimates; time of delivery is not of the essence, and we are not liable for reasonable delays.

14.2 Risk in the Goods passes to you on delivery to you or your carrier, or on collection.

14.3 You must check quantity, condition and temperature immediately on delivery or collection, before signing for or accepting the Goods.

14.4 If you do not take delivery or collect Goods that are ready, risk passes to you and we may charge reasonable storage and re-delivery costs. Perishable Goods that cannot be re-delivered may be disposed of and charged to you.

15. Frozen and perishable goods

15.1 Many of our products are frozen or chilled. After delivery they must be kept at all times within the temperature and conditions shown on the packaging or specification.

15.2 From the moment risk passes, you are responsible for the cold chain and correct storage. We are not liable for any deterioration, spoilage, loss of quality or safety issue caused by incorrect storage, handling, transport or display after delivery, or by any break in the cold chain after delivery.

15.3 You must observe shelf life and best-before dates, rotate stock first-in first-out, and not sell Goods after their date or in damaged or tampered packaging.

16. Retention of title

16.1 Although risk passes on delivery, ownership of the Goods stays with us until we have received payment in full of everything you owe us, on any account.

16.2 Until ownership passes, you hold the Goods for us, must store them so they are identifiable as ours and in proper condition, and must not pledge or charge them. You may resell them in the ordinary course of business, but until you have paid us in full you do so as our agent and hold the proceeds on trust for us.

16.3 Until ownership passes, we may require you to return the Goods. If you do not, we may enter your premises, or those of a third party where the Goods are stored, during business hours to recover them. This right survives the end of our relationship.

17. Shortages, defects and returns

17.1 We accept returns only for Goods that are defective, damaged on arrival or short-delivered. We do not accept returns for change of mind, over-ordering or unsold stock, unless agreed in writing.

17.2 You must notify us in writing, with photographs and batch details: of any shortage, visible damage or defect within 48 hours of delivery or collection; and of any hidden defect within 48 hours of discovering it. Keep the Goods available for inspection and, if frozen, keep them frozen.

17.3 For a valid claim, our only obligation, at our choice, is to replace the affected Goods or credit or refund their price, subject to clause 6.

17.4 Goods may be returned only with our prior agreement and instructions. We may refuse unauthorised returns.

18. Product information, food safety and warranties

18.1 Ingredient, allergen, nutrition and storage information is on each product's packaging or specification sheet, which is the authoritative source. You must make it available to your staff and customers as food law requires, including in any online or delivery-platform listing.

18.2 We apply food-safety controls based on HACCP principles to our Own Products. We warrant that, when risk passes, our Own Products conform to their specification and comply with Cyprus and EU food-safety and labelling law.

18.3 For Distributed Products, our warranty is limited to passing on, as far as we can, the warranties the manufacturer or brand owner gives us.

18.4 You are responsible for complying with the law in storing, handling, displaying, marketing and reselling the Goods. You must not alter, remove, obscure or re-label packaging, labels or date marks, or repack the Goods, without our written consent.

19. Withdrawal, recall and traceability

19.1 If we, a brand owner or an authority decide a product must be withdrawn or recalled, you must co-operate promptly: stop sale, quarantine affected stock, provide batch and traceability records, and follow our reasonable instructions.

19.2 You must keep records that trace, by batch, the Goods you receive from us and supply onward, and show them to us on request.

19.3 Where a recall results from our fault, we will bear the reasonable, evidenced costs of recovering and replacing or crediting the affected Goods, subject to clause 6.

19A. Loaned display freezers

19A.1 We may lend you a BOBO-branded display freezer free of charge while you buy from us. It remains our property at all times.

19A.2 You must use it only for products we supply, keep it switched on, clean and in a suitable indoor position away from direct sunlight and heat sources, and pay for the electricity it uses.

19A.3 You must not move it to another site, lend it to anyone, or let anyone other than us service or repair it.

19A.4 Tell us promptly about any fault. We maintain and repair the freezer at our cost, unless the fault or damage was caused by misuse, accident or neglect at your premises; then you pay for the repair or a replacement. You are responsible for its loss or theft while it is at your premises.

19A.5 We may collect the freezer on [7] days' notice if your orders stop or fall well below the level we agreed, or if our relationship ends. You must give us access to collect it and return it in good condition, apart from normal wear and tear.

Part 3 — Events and equipment hire

20. What this Part covers

This Part applies to appearances of our ice-pop truck, hire of our chillers and freezers, and on-site serving by our personnel, for business customers. The products we supply for an Event are also Goods, and Part 2 applies to them except where this Part says otherwise.

21. Booking

21.1 We agree the details of each Event by email or messaging app: date and times, Venue, products, Equipment, whether it is a Staffed Event or Unstaffed Supply, and price. These are the Agreed Details for the Event.

21.2 A booking is confirmed when we confirm it in writing and you have paid the deposit.

22. Deposit and balance

22.1 A deposit of 50% of the total charges is due on booking. The balance is due in cleared funds before the Event, or by the date in the Agreed Details.

22.2 The deposit is non-refundable, except under clause 7.2. Credit terms under clause 5.2 do not apply to Events unless we agree otherwise in writing.

23. Cancellation and rescheduling

23.1 If you cancel, we keep the deposit, and in addition you pay:

  • cancellation 14 to 30 days before the Event: 50% of the total charges;
  • cancellation fewer than 14 days before the Event: 100% of the total charges.

23.2 You may ask to reschedule at least 14 days before the Event. A new date is subject to availability, and a reasonable administration charge may apply.

23.3 For outdoor Events, weather contingency at the Venue is your responsibility.

24. The Venue: your responsibilities

24.1 Before we arrive and throughout the Event, you must provide at your cost:

  • for chillers: a shaded position, out of direct sunlight;
  • for the truck: a firm, flat surface of at least 4.5 m × 4.5 m, with road access that lets the truck be driven in and positioned;
  • a suitable electricity supply where the truck is to stay at the Venue for more than 3 hours;
  • safe and lawful access for our vehicle, Equipment and personnel; and
  • all permits, licences and permissions needed for the Event and the Venue.

24.2 If on arrival the Venue does not meet these requirements and the problem is not promptly fixed, we may be unable to perform all or part of the service. The agreed charges then remain payable, and we are not liable for the resulting failure or delay.

25. Our service

25.1 We will provide the products, Equipment and service in the Agreed Details with reasonable skill and care.

25.2 We are responsible for delivering and setting up, and at a Staffed Event for operating the truck and serving through our personnel. We apply food-safety controls based on HACCP principles to our products.

25.3 We supply allergen information for our products with every Event. At an Unstaffed Supply, you must make it available to your guests.

26. Risk and responsibility

26.1 Unstaffed Supply: risk in the products, and responsibility for the Equipment, pass to you on handover at the Venue. From then you are responsible for storing, handling, serving and operating them correctly, including the cold chain. We are not liable for deterioration, injury or loss arising from how they are stored, handled, served or operated after handover.

26.2 Staffed Event: we remain responsible for our personnel, for operating the truck and for serving while our personnel are present.

26.3 The Equipment remains our property at all times.

27. Equipment at the Venue

27.1 While Equipment is at the Venue, you are responsible for any loss of or damage to it, except to the extent caused by us or our personnel.

27.2 You must not move, open, alter or repair the Equipment, or use it for other products, without our consent. You must keep chillers powered and shaded as agreed, and give us access to collect the Equipment at the agreed time. If you do not, we may charge for extra hire and collection.

28. Insurance

28.1 We hold product liability insurance for our products. For Staffed Events with the truck, our public liability is covered under the truck's insurance.

28.2 For Unstaffed Supply, you are responsible for public liability at your Venue and should hold suitable insurance for it.

29. Photos and comment

29.1 We may photograph our products, truck and setup at the Event and use the photos to promote our business. We will not publish images in which guests can be identified without their agreement.

29.2 Nothing in a booking stops either of us from making fair and truthful comment about the Event.

Part 4 — Recurring supply for offices

30. Standing Orders

30.1 A Standing Order is a recurring supply of Goods at the volume, frequency, delivery day and price agreed between us by email or messaging app (the Agreed Details).

30.2 Each delivery under a Standing Order is a supply of Goods under Part 2.

30.3 Any free tasting set we offer is provided without obligation to order.

31. Term

A Standing Order starts on the agreed start date. If we agree a minimum term, it runs for that term. After the minimum term, or from the start if there is none, it continues month to month until ended under clause 33.

32. Changes and pauses

32.1 You may change quantities or the delivery day by giving us at least 7 days' notice before the next delivery.

32.2 You may pause deliveries, for example during office closures, for up to 4 weeks in any 12 months, by giving us at least 7 days' notice.

33. Ending a Standing Order

33.1 Either of us may end a Standing Order by giving 30 days' written notice. Notice from you cannot take effect before the end of any minimum term, except under 33.3.

33.2 Deliveries made during the notice period are payable.

33.3 If you end a Standing Order before its minimum term ends, you pay 50% of the price of the deliveries remaining in the minimum term.

34. Prices and invoicing

34.1 Agreed prices for a Standing Order are fixed for the minimum term or, if there is none, for [3] months.

34.2 After that, we may change prices by giving [30] days' notice. You may end the Standing Order without charge before the change takes effect.

34.3 We invoice Standing Orders monthly in arrears or with each delivery, as agreed. Payment is due under clause 5.

Part 5 — Event bookings by private individuals

35. When this Part applies

35.1 This Part applies when you book an Event as a private individual, for your own purposes and not for a business, for example a wedding, birthday or family celebration.

35.2 For these bookings, this Part applies together with clauses 9.2 to 9.5 (your personal data), 24.1 (the Venue), 25 (our service), 26 (risk and responsibility), 27.2 (using the Equipment) and 29 (photos and comment). No other clause of Parts 1 to 4 applies.

35.3 Nothing in these terms affects your statutory rights as a consumer.

36. Booking and prices

36.1 We will send you a quote and these terms before you book. Your booking is confirmed when you accept them in writing, for example by replying to our email or message, and pay the deposit.

36.2 All prices we quote you include VAT.

37. Deposit and balance

A deposit of [30]% of the total price is due on booking. The balance is due [7] days before the Event. We will tell you which payment methods we accept when we confirm the booking.

38. No 14-day withdrawal right

Because your booking is for a specific date, the 14-day right to withdraw from contracts made at a distance does not apply to it. You can still cancel under clause 39.

39. If you cancel or reschedule

39.1 You may cancel by telling us in writing. Because we reserve the date for you and prepare in advance:

  • more than [30] days before the Event: we refund the deposit, less our costs already incurred, up to [€50];
  • [14] to [30] days before the Event: we keep the deposit;
  • fewer than [14] days before the Event: you pay [50]% of the total price.

39.2 You may ask to move the Event to a new date, subject to availability. If you ask at least [14] days before the Event, we move your deposit to the new date free of charge.

40. If we cancel

If we have to cancel, for any reason including events beyond our control, we will offer you a new date or a full refund of everything you have paid.

41. If the Venue is not suitable

If the Venue does not meet clause 24.1 and we cannot provide all or part of the service, we will refund the price of the services we could not provide, less the costs we have reasonably incurred.

42. Equipment in your care

At an Unstaffed Supply, you are responsible for loss of or damage to the Equipment while it is at the Venue, other than normal wear and tear or damage caused by us.

43. Our responsibility to you

43.1 If we break these terms, we are responsible for loss you suffer that is a foreseeable result of our breach. We are not responsible for loss that was not foreseeable when you booked.

43.2 We do not exclude or limit our liability for death or personal injury caused by our negligence, for fraud, for defective products, or for anything else the law does not allow us to limit.

44. Complaints and law

44.1 If something goes wrong, tell us at contact@bobo.cy or +357 99 726789 and we will try to put it right quickly.

44.2 These terms are governed by the law of the Republic of Cyprus, and you may bring proceedings in the courts of the Republic of Cyprus.
